Terms of Service

These Terms explain the rules for using NOLGIA and what you and we can expect from each other. Each section starts with a short summary; the full text below it is what counts.

1. About these terms

In short: These terms are a contract between you and Nolgia Inc. By creating an account or using NOLGIA you accept them.

These Terms of Service (the "Terms") are an agreement between you and Nolgia Inc., a Delaware corporation ("NOLGIA", "we", "us"). They cover nolgia.ai and nolgia.com, NOLGIA Agent, Studio, Characters, the NOLGIA API, CLI and MCP server, apps you connect to your account, Abilities, share links and challenges (together, the "Service").
By creating an account, signing in, or using the Service, you accept these Terms and confirm you have read our Privacy Policy. If you do not agree, do not use the Service.
If you use the Service for a company or other organization, you accept these Terms for that organization and confirm you are authorized to do so. "You" then means both you and the organization.
If your organization has signed a separate agreement with us (for example an Enterprise order form), that agreement controls where it conflicts with these Terms. When we process personal data on behalf of a business customer, our Data Processing Addendum also applies.

2. Eligibility and your account

In short: You must be an adult, keep your sign-in and tokens secure, and you are responsible for everything done with your account, including by your NOLGIA Agent.

You must be at least 18 years old to use the Service. You may not use the Service if you are barred from doing so under the laws that apply to you.
You can sign in with Google, with an email address and password, or through your organization's single sign-on. Give us accurate information and keep it current. One account is for one person; do not share your sign-in.
You are responsible for all activity under your account, including activity through your personal access tokens, apps you connect, and your NOLGIA Agent. Tell us right away if you think someone has accessed your account without permission.
Organizations: the owner and admins of an organization control its membership, roles, shared Library, credit pool and member budgets. Members of an organization can see and use the organization's shared Library, and owners, admins and billing members can see each member's credit use. Organization actions are recorded in an audit log that admins can see. Enterprise organizations can require single sign-on for their verified email domains.

3. Plans, credits and billing

In short: Generations and NOLGIA Agent turns cost credits. Plan credits reset each month; top-up credits do not expire. Payments go through Stripe.

Free accounts receive a one-time grant of starter credits when they first sign in. Paid plans are billed in advance through Stripe, monthly or yearly. A yearly plan is paid up front and its credits arrive in monthly installments. Top-up credit packs can be bought separately.
Free trial: an account that has not had a paid plan can start one seven-day free trial of the features of our Studio plan. A trial needs no card and is never charged, and it adds no credits: what you make during it spends your own credits at the usual rates. One trial per person: we may refuse a trial to an account or email address that already had one, and we may change or end trials, or end one early, where we see abuse. The trial ends on its own after seven days and your account returns to the free plan, unless you choose a paid plan, which starts at once. Everything you made stays in your account. A NOLGIA Agent used during the trial runs on shared trial infrastructure; when the trial ends it is paused and, unless you move to a plan that includes the agent, it and its memory are deleted 30 days later.
Each generation and each NOLGIA Agent turn costs credits at the rates on our pricing page and in the app. The app shows the cost before you generate, and the API can quote it. An agent turn costs at least the published rate for the agent's model; a turn that does more work can cost more, based on the measured cost of that turn.
Plan credits expire at the end of each monthly credit period and do not roll over. Top-up credits and free starter credits do not expire while your account is open.
Which credits a request can use depends on how it signs in. The web app, NOLGIA Agent, the CLI after you sign in with it, organization API keys, and apps you connect over OAuth (such as an AI app using our MCP server) use plan credits first, then top-up credits. Personal access tokens you create use top-up credits only.
Credits are a prepaid right to use the Service. They have no cash value, cannot be sold or transferred, and are not a deposit or stored value.
Credit codes can be redeemed once per account and may expire. Access to some models, NOLGIA Agent and some Abilities depends on your plan; buying credits does not unlock them.
Upgrades take effect immediately and Stripe charges the prorated difference. Downgrades, and switches from yearly to monthly billing, take effect at the end of the current period. You can cancel from the billing portal at any time; your plan stays active until the end of the period you paid for, plan credits you already received stay usable until they expire, and top-up credits stay in your account.
Prices are in US dollars and do not include applicable taxes. We do not currently collect sales tax or VAT; you are responsible for any taxes that apply to your purchases.
We will give you at least 30 days' notice before we change the price of your plan. Credit rates for individual models and agent turns can change at any time; the current rate is always shown before you spend credits.

4. Failed generations and refunds

In short: A generation that fails for a technical reason costs nothing. A generation refused by a provider's safety filter costs nothing unless the provider charged for it. Money payments are generally non-refundable.

When you start a generation we hold its credits, then charge them when it finishes.
Credits held for a generation that fails for a technical reason are returned automatically and in full. Credits held for a generation refused under a model provider's content policy are also returned, except where the provider charged for the refused attempt, in which case they are consumed.
Every failed generation shows whether its credits were returned. A request that stops waiting for a result (for example an API wait that times out) does not cancel the generation; it can still finish and be charged.
Except where the law requires otherwise, payments for plans and top-ups are non-refundable, including for unused credits and partial periods. We may choose to make an exception.

5. Your content and outputs

In short: You own what you put in and, as far as we can give it, what you make. We use your content only to run the Service for you, and we do not train models on it.

"Inputs" are the prompts, files, reference images, video and audio, Characters, voice clips and messages you give the Service. "Outputs" are the images, video, audio, 3D models, text and other results the Service returns to you. Inputs and Outputs together are "your content".
You keep all rights you have in your Inputs. As between you and us, and to the extent the law and the model provider's terms allow, we assign to you all of our right, title and interest in your Outputs.
AI Outputs may not be protected by copyright in every country, and a model can produce Outputs that are similar or identical to Outputs made for other people. Our assignment does not cover anyone else's content, and other users may own similar Outputs they made themselves.
You give us a worldwide, non-exclusive, royalty-free license to host, store, copy, process, transmit and display your content only as needed to run, secure and support the Service for you, including sending it to the model providers that fulfill your requests. When you make content public (with a share link or a challenge entry), this license also lets us display it there for as long as it stays public.
We do not use your content to train AI models, and we do not sell it. Model providers handle what they receive under their own terms; our principal providers are listed on our Subprocessors page.
You are responsible for your content and for how you use Outputs. Review Outputs before you rely on or publish them.
If you send us ideas or feedback, we may use them without any obligation to you.

6. Real people, likeness and consent

In short: Only use a real person's face or voice if it is you or you have their permission. Never use NOLGIA to deceive people about what a real person said or did.

Characters let you save reference photos of a person and reuse them, and a Character can carry a voice clip. When you use a real person's photo, likeness or voice in the Service (in a Character, as a reference, or in a prompt), you confirm that it is you, or that you have that person's permission to use their image or voice this way (including, if you agree to it, for the face identity check described below), and any other rights needed.
Do not upload photos or recordings of anyone under 18 as a reference, and do not use the Service to create content depicting a real minor.
You must not use a real person's likeness or voice to: create sexual or intimate content; harass, threaten, or humiliate them; impersonate them; falsely show them endorsing something; or mislead anyone into thinking something happened that did not, including about elections, news or public events. Content about public figures must not be presented as real.
If you agree to it for a photo, NOLGIA checks how closely the images and videos you make with that photo match the face in it. You can withdraw that agreement at any time. Our Privacy Policy explains what the check does, what we keep, and for how long.
Many model providers refuse requests involving real people, public figures or protected characters. Those refusals are theirs and we cannot override them.

7. Acceptable use

In short: Do not use NOLGIA for anything illegal, abusive, deceptive or harmful, and do not attack or overload the Service.

You agree not to use the Service to create, upload or share content, or take any action, that:
  • sexualizes minors in any way. We report apparent child sexual abuse material to the National Center for Missing & Exploited Children and to law enforcement;
  • is sexually explicit;
  • infringes someone's copyright, trademark, privacy, publicity or other rights;
  • harasses, threatens, bullies, defames or promotes violence or hatred against people or groups;
  • defrauds, scams or deceives people, including fake documents, fake reviews and impersonation;
  • is designed to mislead people about elections, public health or news, or is disinformation presented as fact;
  • helps someone make weapons capable of mass harm, or promotes terrorism, self-harm or other serious harm;
  • is otherwise illegal where you or the audience are.
You also agree not to: get around credit metering, rate limits, plan restrictions, safety filters or other controls; probe, scan or attack our systems or other users; scrape the Service or access it by automated means other than our API, CLI and MCP server; use the Service to build a competing product by extracting models or data; or resell raw access to the Service without our written agreement.
Model providers run their own safety systems on Inputs and Outputs and can refuse any request.
We may remove content, disable share links and challenge entries, and suspend or close accounts that break these rules. Where a violation is serious or deliberate, we may do so without notice and remaining credits are forfeited.

8. Model providers

In short: The models in NOLGIA are run by third-party providers. Their availability, behavior and prices can change.

Generations and NOLGIA Agent replies are produced by AI models run by third-party providers and hosting partners. Our principal providers are listed on our Subprocessors page.
Your use of a model must also follow that provider's usage policies. We may route a request to another provider that offers the same model when the first one is unavailable.
Models can be added, changed or retired at any time. Outputs are probabilistic: the same request can give different results, and results can be wrong, low quality, or not what you asked for.

9. API, CLI, MCP and access tokens

In short: Our API, CLI and MCP server follow these same Terms. A personal access token is as powerful as your password.

You can use the Service through our API, the nolgia CLI, and our MCP server, including from AI apps you connect through OAuth. The same rules apply there as in the app.
A personal access token gives full access to your account through the API. Keep tokens secret, set an expiry when you create one, and revoke any token you no longer need or think is exposed. We may revoke a token we believe is compromised or misused.
When you connect an app over OAuth, that app acts for you with the access you approve until you disconnect it. You are responsible for what it does.
We may apply limits on how many generations run at once and how many requests you make, and we may change them. Do not try to get around them.

10. NOLGIA Agent

In short: Your NOLGIA Agent does real work for you: it can spend your credits, change your Library and run code. You are responsible for what you ask it to do.

Plans that include NOLGIA Agent give you your own agent with its own private workspace. The agent acts on your instructions using your account.
Depending on what you ask, the agent can search and browse the web, run code in its workspace, create and edit files, start generations (which spend your credits), use Characters and presets, move items in your Library to the trash, edit projects, and run tasks on a schedule. It does not ask before each step. Tell it clearly what you want, check its work, and watch your credit balance.
The agent remembers things across chats (its memory) so it can work with you over time. You can ask it to forget something. It can also connect to services you set up for it, such as a Telegram bot, using credentials you provide; you are responsible for those connections.
The agent can make mistakes. Outputs and actions of the agent are Outputs under these Terms, and you are responsible for reviewing them before you rely on or publish them.
We may pause or restart your agent, stop a turn that runs too long, or limit what it can do to protect the Service or other users.

11. Abilities

In short: Abilities add skills and code to your NOLGIA Agent. Today they are all made by NOLGIA.

Abilities are packages of instructions and code that you can install on your NOLGIA Agent from the marketplace. An installed Ability runs inside your agent's workspace with the same access as your agent.
All Abilities available today are published by NOLGIA. If we open the marketplace to other developers, each listing will say who published it, and developers will agree to separate terms.
Some Abilities may require a particular plan or a paid add-on. Any add-on price is shown before you buy it.

12. Share links and challenges

In short: Nothing you make is public unless you share it. Share links are public to anyone who has the link; challenge entries are public to everyone.

Your content is private to you (and, for an organization Library, to its members) unless you choose to make it public.
A share link makes one Output viewable by anyone who has the link, without signing in. The shared page shows the media, its title, part of the prompt that made it, the model, and the preset if one was used. It does not show your name. Links expire after the period you choose, and you can revoke a link at any time. Deleting the Output also disables its links.
Entering a challenge publishes the Output you choose on the challenge page for everyone to see and vote on, with the title and the optional credit name you give it, and creates a public link to it. Each challenge page sets out its own rules. You can withdraw an entry at any time. Entries that users report may be hidden, and we may remove entries that break the challenge rules or these Terms.
Only enter or share content you have the right to make public.

13. Our intellectual property

In short: The Service itself, including our software and brand, belongs to us.

The Service, including its software, models we build, design, presets, documentation and branding, is owned by Nolgia Inc. and its licensors and protected by intellectual property laws. We give you a limited, non-exclusive, non-transferable right to use the Service under these Terms. These Terms give you no right to use our names, logos or trademarks.

15. Third-party services

In short: Services you connect to NOLGIA, such as Google Drive, have their own terms.

The Service works with other services you choose to use, such as Google Drive for importing and saving files, a Telegram bot for your agent, your organization's own storage bucket, and AI apps you connect over OAuth. Those services are governed by their own terms and privacy policies, and we are not responsible for them.

16. Suspension and termination

In short: You can leave at any time. We can suspend or close accounts that break these Terms or put others at risk.

You can stop using the Service at any time, and delete your account in Settings. Deleting your account cancels any paid subscription straight away, without a refund for the current period, and any unused credits are forfeited. Your account is locked for 7 days, during which you can ask us to restore it, and then your data is deleted as described in our Privacy Policy. If you own an organization that still has other members, transfer ownership first.
We may suspend or close your account, or part of the Service for you, if you break these Terms, if you do not pay, if we need to in order to protect the Service, other users or the public, or if the law requires it. Where it is reasonable, we will tell you first and give you a chance to fix the problem.
When your account closes, your right to use the Service ends and your content is deleted as described in our Privacy Policy, so download anything you want to keep first. Work you created in someone else's organization stays with that organization. Sections that by their nature should survive (including ownership, licenses you gave us for content already public, disclaimers, limits of liability, indemnity and disputes) survive.

17. Disclaimers

In short: The Service is provided as is. AI output can be wrong, and we cannot promise the Service will always be available.

THE SERVICE AND ALL OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, THAT OUTPUTS WILL BE ACCURATE, UNIQUE OR SUITABLE FOR YOUR PURPOSE, OR THAT OUTPUTS WILL NOT INFRINGE ANYONE'S RIGHTS.
Some places do not allow some of these exclusions, so some of them may not apply to you.

18. Limitation of liability

In short: If something goes wrong, our liability is limited to what you paid us in the last 12 months, or US$100 if that is more.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NOLGIA INC. AND ITS AFFILIATES, OFFICERS, EMPLOYEES AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA OR GOODWILL, ARISING OUT OF OR RELATING TO THE SERVICE, EVEN IF WE WERE TOLD THEY WERE POSSIBLE. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE IS LIMITED TO THE GREATER OF THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR US$100.
Nothing in these Terms limits liability that cannot be limited by law, such as for fraud, or for death or personal injury caused by negligence.

19. Indemnity

In short: If someone makes a claim against us because of your content or your breach of these Terms, you cover it.

To the extent the law allows, you will defend and indemnify Nolgia Inc. and its affiliates, officers and employees against claims, losses and costs (including reasonable legal fees) arising from your content, your use of Outputs, your use of someone's likeness or voice, or your breach of these Terms or the law.

20. Disputes and governing law

In short: Talk to us first. If we cannot resolve it, disputes go to individual arbitration, not class actions, unless you opt out within 30 days.

Before starting any formal dispute, email contact@nolgia.ai with a description of the problem. We will try in good faith to resolve it within 60 days.
These Terms are governed by the laws of the State of California and applicable United States federal law, without regard to conflict of law rules. The Federal Arbitration Act governs the arbitration agreement below. Any court case that is allowed under this section will be heard in the state or federal courts located in Los Angeles County, California, and you and we agree to their jurisdiction.
If we cannot resolve a dispute informally, you and we agree to resolve it by final and binding arbitration on an individual basis, administered by the American Arbitration Association under its Consumer Arbitration Rules, except that either of us may bring an individual claim in small claims court, and either of us may seek an injunction in court to stop the misuse of intellectual property. You and we waive any right to a jury trial and to bring or join a class, collective or representative action. You can opt out of this arbitration agreement by emailing us within 30 days of first accepting these Terms.
If you live in the European Union, the United Kingdom or another place whose consumer laws give you the right to bring claims in your local courts or under your local law, nothing in this section takes that right away.

21. Changes to the Service and these Terms

In short: We will tell you before material changes to these Terms take effect.

We are always improving the Service and may add, change or remove features.
We may update these Terms. We will post the new version here and update the date at the top. For material changes, we will tell you in the app or by email at least 14 days before they take effect, unless the change is required by law or only adds new features. If you keep using the Service after changes take effect, you accept them; if you do not agree, stop using the Service and close your account.

22. General

In short: The usual contract terms.

These Terms, together with the Privacy Policy and any plan or order terms you accept, are the whole agreement between you and us about the Service. If any part is found unenforceable, the rest stays in effect. Our not enforcing a term is not a waiver. You may not transfer these Terms without our consent; we may transfer them as part of a merger, acquisition or sale of assets.
We are not responsible for delays or failures caused by events outside our reasonable control, including outages at model providers or cloud services.
You must follow export control and sanctions laws, and you may not use the Service if you are in, or acting for someone in, a country or on a list subject to United States sanctions.
We may send you notices at the email address on your account or show them in the app. You can send notices to us by email to contact@nolgia.ai or by mail to Nolgia Inc., Attn: Legal, 8549 Wilshire Blvd, Suite 1180, Beverly Hills, CA 90211, United States.
